Board of Directors Special Meeting minutes 4.24.09

Mendocino County Lodging Association
* Special Meeting* Board of Directors Meeting Minutes

Friday, April 24, 2009
Anderson Valley Brewing Company, Boonville, CA

The meeting was called to order by President Jan Rodriguez at 12:30pm. Present were Richard Strom, Jeff Stanford, Christina Affinito, Mike Bradbrook, Pauline Zamboni, Stuart Marcus, Deny Shah, Raakesh Patel, Scott Schneider, Aimee Hanson, Phone: Jannine Heidemann, Jason Hurst, Jo Bradley, Renata Dorn (guest). Guest: Kevin Gallagher, Elaine Bryant.

Privilege of the Floor:

• Jan explains the process of “moving to question”. As discussions ensue, a Board Member may “call to question” which stops discussion and has the Board vote on whether to vote on the issue being discussed.
• Jo requests contacting an attorney regarding someone using mcla.info@gmail.com and to see about having that person stop using the email address. This item to be used for new business.

Old Business:

• Contract with Visit Mendocino County, Inc. – Jo motions an ad-hoc committee be created consisting of Jan, Jo, Pauline & Mike to re-write/edit the contract and to get a legal opinion from our attorney on the contract and its concept. Jeff seconds. Richard moves to question. Jeff seconds. Motion Passes. Initial motion passes. Goal is to have this complete by May 6.

New Business:

• County’s Decision to collect TOT & BID Monthly – Concern was raised regarding implementing the collection of $500 if BID and/or TOT payments are made late. Concern was raised regarding the change to monthly collection and the hardship this will cause to business. Stuart motions we prepare, through a sub-committee, a letter to Tom Mitchell with our concerns and suggestions requesting a meeting with the County to discuss the proposed changes in collection and fines by the County of Mendocino. Jeff seconds. Motion Passes. Stuart, Jeff, Jo and Jan will draft a letter to send to the entire Board by April 30.

• Issue of using the email mcla.info@gmail.com – Concern that members believe this email comes from MCLA when it does not. An attorney was contacted and determined this is considered fraud. Attorney is willing, for $250, to research and move forward with ceasing the use of this email address by means of a cease and desist order. Jeff motions to spend $250 to move forward to have them produce a cease and desist letter and any other course of action he may recommend. Richard seconds. Motion Passes.

Mike makes a motion to adjourn. Meeting adjourned at 2:00pm.
